Terms
Terms of ServiceSeasons Protocol
The Seasons websites and Analytics Terminal are provided by Seasons Labs, as informational resources and a front-end interface for accessing on-chain analytics and interacting with third-party services via integrated APIs. Neither the informational website nor the Terminal constitutes a financial product, securities offering, exchange, broker-dealer, or investment adviser. Nothing displayed on any Seasons website or the Terminal constitutes financial, investment, legal, or tax advice of any kind. All data is sourced from the public Solana blockchain and is presented for informational purposes only. Past performance figures, including displayed APY, are historical in nature and do not guarantee future results. We do not hold, manage, or have access to User funds at any time. Use of the Services is at the User’s own risk.
1. Introduction and Binding Agreement
Welcome to Seasons. These Terms of Use (“Terms”) govern your access to and use of the Seasons informational website available at https://seasons.wtf (“Website”) and the Seasons Analytics Terminal available at https://terminal.seasons.wtf (“Terminal”), collectively referred to as the “Services.” The Services are brought to you by Seasons Labs (“we,” “us,” or “our”).
Website provides information and resources about the Seasons protocol, a decentralized non-custodial liquidity system operating on the Solana blockchain comprising self-executing smart contracts. Seasons Labs does not control or operate the Seasons protocol.
The Terminal is an independent interface providing one of the available applications through which users, via their self-custodial wallets, can access on-chain analytics and interact with the Seasons Protocol.
YOU ARE ENTERING INTO A BINDING AGREEMENT.
BY ACCESSING OR USING OUR SERVICES, WHICH INCLUDE SEASONS.WTF, TERMINAL.SEASONS.WTF, AND ANY RESPECTIVE SUBDOMAINS, APPLICATIONS, OR OTHER SERVICES THAT LINK TO THESE TERMS, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICES AND SHOULD DISCONTINUE ACCESS IMMEDIATELY.
To use the Services, you must be legally capable of entering into this Agreement. By using the Services, you represent and warrant that you meet this requirement.
We may change or update the Services and these Terms at any time, at our sole discretion. Once updated Terms are in effect, you will be bound by them if you continue to use the Services. See Section 13 for further details.
2. The Services
seasons.wtf is an informational resource about the Seasons protocol.
All information provided on seasons.wtf is intended for informational purposes only. While we strive to provide accurate and reliable information, we cannot guarantee the accuracy, completeness, or timeliness of content published. You should not take or refrain from taking any action based solely on information available on seasons.wtf, including blog posts, data, articles, or links to third-party content.
terminal.seasons.wtf is an analytics interface for the Seasons protocol.
The Terminal provides a read-only analytics view of on-chain data associated with the Seasons protocol, including yield distribution statistics, node activity, portfolio allocation metrics, and token data. All Analytics Data is sourced from the public Solana blockchain and is presented for informational purposes only. While we strive to provide accurate information, we cannot guarantee the accuracy, completeness, or timeliness of data displayed. You should not take or refrain from taking any action based solely on information displayed on the Terminal.
Users retain full control over their digital assets.
Neither Seasons Labs nor any affiliated entity is a party to any transaction on the Solana blockchain. We do not have possession, custody, or control over any digital assets or User funds at any time. When you interact with the Seasons protocol or any other on-chain system via the Terminal, you retain full control over your digital assets.
Wallet connection is provided by third-party self-custodial wallet providers.
To access personalized analytics in the My Node module, you may connect a self-custodial wallet to the Terminal. Your wallet is provided by a third-party entity and is governed by that provider’s separate terms and conditions. It is your sole responsibility to review and understand the terms applicable to your chosen wallet provider. We have no control over, and accept no responsibility for, the functionality, security, or terms of any third-party wallet.
We are not an intermediary, adviser, or fiduciary.
Due to the non-custodial and decentralized nature of the Seasons Protocol, we are not intermediaries, agents, advisers, or custodians, and we do not have a fiduciary relationship or obligation to you regarding any decision or transaction you make using the Services. You are solely responsible for the accuracy, legality, and appropriateness of any on-chain interaction you initiate.
Token swap functionality is provided via an integrated third-party API.
The Terminal integrates the Jupiter exchange aggregator API (jup.ag), through which Users may initiate $SEAS token swap transactions without leaving the Terminal. Token swaps executed through this integration are processed entirely by Jupiter’s infrastructure and governed by Jupiter’s own terms of service. We do not operate, own, or control Jupiter; do not determine token prices, available liquidity, or swap outcomes; and do not receive any fee, commission, or remuneration in connection with any swap. Jupiter charges its own fee on each swap (currently 0.1% of the amount), which the Terminal shows before you sign. Every amount the Terminal shows before you sign, including the $SEAS you are expected to receive, is an estimate: prices move between the quote and the moment the transaction lands, and what you receive may be less than the estimate, down to the minimum the quote states (“slippage”); if that minimum cannot be met the swap does not happen. A quote expires after a short time and a new one is needed. A swap happens only when you approve the transaction in your own wallet; the Terminal never signs for you. All swap transactions are initiated by the User, executed on the Solana blockchain, and are entirely the User’s responsibility. We are not a party to any swap transaction.
Card purchases are provided by a third-party payment provider.
Where available, the Terminal lets Users buy digital dollars (USDC) or SOL with a card or a mobile wallet payment from MoonPay (moonpay.com), arranged through the wallet infrastructure provider Turnkey (turnkey.com), and then swap them for $SEAS through the Jupiter integration as a separate step that the User approves. MoonPay is the seller of those tokens and is solely responsible for the payment, for the identity and anti-money-laundering checks it requires, for its fees (which it shows before you pay), for deciding whether to accept a purchase, and for delivering the tokens to your wallet; the purchase is governed by MoonPay’s own terms of use. Card purchases are not offered in every country: the Terminal follows MoonPay’s list of supported countries and MoonPay may decline a purchase. We do not receive your card details or identity documents, we never hold the money you pay or the tokens you buy, and we receive no fee, commission, or remuneration from MoonPay or Turnkey in connection with any purchase. Card payments can take minutes or, where MoonPay requires further checks, longer; the Terminal shows the status it reads from Turnkey and the Solana network but cannot speed up, cancel, or refund a purchase. Questions about a payment should be directed to MoonPay.
Where Stripe sells SOL in the User’s currency (today in the United States), card purchases are provided by Stripe (stripe.com) instead: the Terminal shows Stripe’s own payment form, in which Users buy SOL that Stripe delivers directly to their wallet, and then swap it for $SEAS through the Jupiter integration as a separate step that the User approves. Stripe is the seller of the SOL and the merchant of record, and is solely responsible for the payment, for the identity, sanctions and fraud checks it requires, for its fees (which it shows before you pay, and which the Terminal shows as Stripe estimates them), for deciding whether to accept a purchase, and for delivering the SOL to your wallet; the purchase is governed by Stripe’s own terms. We do not receive your card details or identity documents, we never hold the money you pay or the SOL you buy, and we receive no fee, commission, or remuneration from Stripe in connection with any purchase. The Terminal cannot speed up, cancel, or refund a purchase. Questions about a payment should be directed to Stripe.
There may be associated blockchain and protocol fees.
Transactions conducted on the Solana network may be subject to network fees (“gas”) imposed by the network. Additionally, the $SEAS token smart contract includes a built-in Transactional Transfer Tax applied to buy, sell, and transfer transactions, which is a feature of the on-chain smart contract and is neither set nor collected by us. You are solely responsible for understanding and bearing all costs, fees, and charges associated with any on-chain activity.
Service availability is not guaranteed.
The Services may be inaccessible or inoperable at any time due to equipment malfunctions, maintenance, causes beyond our control, disruptions to the Solana blockchain, or unavailability of third-party service providers. You access and use the Services at your own risk.
3. Assumption of Risk
You assume the risks of engaging with novel and experimental technology.
Technologies such as smart contracts on public blockchains, cryptographic tokens, and systems that interact with blockchain networks are experimental, speculative, and inherently risky. Bugs, malfunctions, cyberattacks, or changes to the Solana protocol, including forks, could disrupt these technologies and result in the partial or total loss of digital assets or their market value. We assume no liability for any such risks. If you are not comfortable assuming these risks, you should not use the Services or engage in transactions using blockchain-based technology.
We are not liable for third-party services.
We are not responsible for the content or services of any third party, including wallet providers, Jupiter, MoonPay, Stripe, Turnkey, or any other external service accessible via the Services. The use of any third-party product or service is entirely at your own risk. We have no control over third-party services and cannot guarantee, endorse, or recommend them for any specific purpose.
You acknowledge the automated nature of smart contract transactions.
All transactions processed via the Seasons protocol smart contracts are executed automatically. By using the Services and initiating any on-chain interaction, you acknowledge and consent to the automatic processing of transactions by smart contracts. The applicable smart contract code will dictate how funds and crypto assets are distributed. All blockchain transactions are irreversible and final.
You are solely responsible for the security of your wallet.
You are solely responsible for maintaining the security of your self-custodial wallet and private keys. We do not have access to your private keys. Any unauthorized access to your wallet could result in loss of digital assets. We have no involvement in and accept no responsibility for maintaining the security of your wallet.
We reserve the right to restrict your access.
We reserve the right to restrict your access to the Services via any technically available methods if we suspect, in our sole discretion, that you are using the Services for money laundering or any illegal activity; you have engaged in fraudulent activity; you are the target of applicable sanctions (see Section 7); or you have otherwise acted in violation of these Terms.
4. Taxes
Users bear sole responsibility for paying any and all taxes, duties, and assessments claimed or imposed by any governmental authority in connection with their use of the Services, any on-chain transaction, or any proceeds received from the Seasons protocol. The tax treatment of digital asset transactions is uncertain and evolving. You should consult a qualified tax adviser in your jurisdiction before engaging in any on-chain activity.
5. Ownership and License
We grant you a license to use the Services.
Subject to your ongoing compliance with this Agreement, we grant you a personal, worldwide, revocable, non-exclusive, and non-assignable license to use the Services solely as permitted by these Terms. This license is for the sole purpose of allowing you to use and enjoy the Services in the manner intended.
We own all rights in the Services.
We own all rights, title, and interest in and to the Services, including all content, code, data, design elements, visual assets, trademarks, and materials available through the Services. Except as expressly set out in these Terms, your use of or access to the Services does not grant you any ownership or other rights in or to the Services or any part thereof.
On-chain data.
Data originating from the public Solana blockchain is publicly available and not owned by us. Our intellectual property rights subsist in the selection, aggregation, and visual presentation of such data within the Terminal.
6. Prohibited Conduct
You may only use the Services in compliance with this Agreement and all applicable laws, rules, and regulations. The following conduct is prohibited:
Engaging in or facilitating any unlawful, fraudulent, or illegal activity, including money laundering, financing of terrorism, tax evasion, or violations of applicable sanctions or export control laws;
Exploiting the Services for any unauthorized commercial purpose, including resale, sublicensing, or operating a service bureau without our express written permission;
Uploading or transmitting viruses, malware, worms, Trojan horses, or any other harmful or disruptive code that may affect the functionality or security of the Services;
Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying logic of the Terminal;
Harvesting, scraping, or systematically collecting data from the Services through automated means, including bots, spiders, or crawlers, without our prior written consent;
Using the Services under false or fraudulent pretenses, including through impersonation or the use of false credentials;
Interfering with other Users’ access to or use of the Services;
Circumventing any security feature, access restriction, geofencing measure, or other technical limitation of the Services;
Engaging in any market manipulation, price fixing, wash trading, or other anticompetitive conduct in connection with any transaction on the Solana network;
Any other conduct that violates the spirit or intent of these Terms, as determined in our sole discretion.
Violation of these rules may result in immediate restriction or revocation of your access to the Services, without liability to you. We reserve the right to investigate suspected breaches and to disclose information as required by applicable law, regulation, or governmental request.
7. Sanctions and Regulatory Compliance
Access to the Services is not permitted if you are: listed on the Specially Designated Nationals and Blocked Persons List (SDN List) or any other sanctions list administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or the British Virgin Islands; located in, organized in, or ordinarily resident in a country or territory that is the subject of comprehensive sanctions, including but not limited to Cuba, Iran, North Korea, Syria, Russia (to the extent sanctioned), Belarus (to the extent sanctioned), or the Crimea, Donetsk, and Luhansk regions of Ukraine; or acting on behalf of, or for the benefit of, any of the above.
By accessing the Services, you represent and warrant on a continuing basis that you do not fall within any of the above categories and that your use of the Services does not violate any applicable anti-money laundering (AML), counter-terrorism financing (CTF), or economic sanctions laws. If at any time this representation ceases to be accurate, you must immediately discontinue all use of the Services.

Some jurisdictions do not allow the exclusion or limitation of certain warranties and liabilities. To the extent applicable law does not permit us to disclaim certain warranties or limit certain liabilities, the scope of such warranties and the extent of our liability shall be as permitted under applicable law.
9. Arbitration Agreement and Waiver of Rights, Including Class Actions
PLEASE READ THIS SECTION CAREFULLY: IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JUDGE OR JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
Agreement to Attempt to Resolve Disputes Through Good Faith Negotiations.
Prior to commencing any legal proceeding of any kind, including an arbitration as set forth below, you and we agree that we will attempt to resolve any dispute, claim, or controversy between us arising out of or relating to this Agreement or the Services (each, a “Dispute”) by engaging in good faith negotiations. Such good faith negotiations require, at a minimum, that the aggrieved party provide written notice to the other party specifying the nature and details of the Dispute. The party receiving such notice shall have thirty (30) days to respond. Within sixty (60) days after the aggrieved party sent the initial notice, the parties shall meet and confer in good faith, by videoconference or telephone, to attempt to resolve the Dispute. If the parties are unable to resolve the Dispute within ninety (90) days after the initial notice was sent, either party may submit the Dispute to arbitration as set forth below.
Agreement to Arbitrate.
You and we agree that any Dispute that cannot be resolved through the good faith negotiation procedure above will be resolved by binding arbitration administered by the BVI International Arbitration Centre (“BVI IAC”) in accordance with the BVI IAC Arbitration Rules then in force, as governed by the Arbitration Act, 2013 of the British Virgin Islands. The seat of arbitration shall be the British Virgin Islands. The language of the arbitration shall be English. The arbitrator shall have experience adjudicating matters involving internet technology, software applications, financial transactions, and, ideally, blockchain technology. The arbitrator’s award of damages must be consistent with the Limitation of Liability provisions set out in Section 8 as to the types and amounts of damages for which a party may be held liable. The prevailing party shall be entitled to an award of reasonable legal fees and costs. Except as may be required by law, neither party nor its representatives may disclose the existence, content, or results of any arbitration without the prior written consent of both parties.
CLASS ACTION WAIVER. YOU AND WE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND WE AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE IN WHOLE OR IN PART, THEN THE PARTIES AGREE THAT THE ARBITRATION AGREEMENT IN THIS SECTION SHALL BE NULL AND VOID WITH RESPECT TO THOSE CLAIMS, WHICH SHALL THEN BE RESOLVED BY THE COURTS OF THE BRITISH VIRGIN ISLANDS.
10. Waiver of Injunctive or Other Equitable Relief
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT YOU WILL NOT BE PERMITTED TO OBTAIN AN INJUNCTION OR OTHER EQUITABLE RELIEF OF ANY KIND, INCLUDING ANY COURT ORDER OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT, OPERATION, OR EXPLOITATION OF THE TERMINAL, THE SEASONS PROTOCOL, OR ANY OTHER WEBSITE, APPLICATION, CONTENT, PRODUCT, SERVICE, OR INTELLECTUAL PROPERTY OWNED, LICENSED, USED, OR CONTROLLED BY ANY SEASONS INDEMNIFIED PARTY.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Seasons Indemnified Parties from any claim, demand, or proceeding, including reasonable legal fees, made by any third party due to or arising out of:
Your breach or alleged breach of this Agreement;
Your use or misuse of the Services;
Your violation of any applicable law, rule, or regulation;
Your violation of the rights of any third party, including intellectual property rights, privacy rights, or property rights;
Your use of any third-party product, service, or platform, including the Jupiter API integration and card purchases through MoonPay or Stripe;
Any misrepresentation made by you.
We reserve the right, at your expense, to assume exclusive control of the defense of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims and not to settle any matter without our prior written consent. This obligation survives any termination of this Agreement or discontinuation of the Services.
12. Termination
This Agreement is effective unless and until terminated by either you or us. You may terminate your Agreement with us at any time by ceasing all access to and use of the Services.
If, in our sole judgment, you fail or we suspect that you have failed to comply with any term or provision of this Agreement, we reserve the right to terminate this Agreement and deny you access to the Services. We further reserve the right to restrict or discontinue access to the Services at any time and for any reason, without notice, including where we reasonably believe your use exposes us to risk or liability, you are using the Services for unlawful purposes, or it is no longer commercially viable to continue providing the Services.
All provisions of this Agreement which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitation of liability.
13. Modifications
We reserve the right to modify, update, suspend, or discontinue the Services or any part thereof at any time, without notice or liability to you. We also reserve the right to amend these Terms at any time.
Where changes to the Terms are material, we will endeavor to provide advance notice through one or more of the following official channels: an in-Terminal notification; an announcement on the official Seasons Telegram channel (t.me/SeasonsCommunity); or an announcement on the official Seasons X account (x.com/Seasons_DEFI).
It is your responsibility to monitor changes to the Services and these Terms. Your continued use of the Services after updated Terms have been published constitutes your acceptance of the changes. If you do not accept the updated Terms, you must discontinue use of the Services.
14. Privacy and Cookies
Your use of the Services is also governed by our Privacy Policy and Cookie Policy, accessible at the footer of each Service, which are incorporated into this Agreement by reference. The Services do not collect personal data from Users. The Services do not set proprietary HTTP cookies. Limited use is made of session storage for technical purposes only (font loading optimization), which contains no personal information and is cleared automatically at the end of each browser session. Web font assets are loaded from Google Fonts, which may process your IP address in accordance with Google’s privacy policy. No advertising networks, analytics platforms, or tracking pixels are loaded by the Services.
15. Severability
If any provision of this Agreement is determined to be unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from the Agreement. Such determination shall not affect the validity and enforceability of any other remaining provisions.
16. Assignment
This Agreement may be assigned by us without your prior consent to any affiliate or successor in connection with any merger, acquisition, restructuring, or sale of all or substantially all of our assets. You may not assign or transfer any rights or obligations under this Agreement without our prior written consent. Any purported assignment in violation of this Section shall be null and void.
17. Entire Agreement
This Agreement, including these Terms, the Privacy Policy, and the Cookie Policy, constitutes the entire agreement between you and us with respect to the Services and supersedes all prior or contemporaneous agreements, communications, and understandings, whether oral or written, relating to the same subject matter. Any failure by us to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
18. Governing Law and Jurisdiction
These Terms and this Agreement shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles.
We encourage you to contact us directly to resolve any concern informally before initiating formal proceedings. Formal disputes shall first be submitted to arbitration in accordance with Section 9. Where Section 9 does not apply or the class action waiver is found unenforceable, any remaining dispute shall be subject to the non-exclusive jurisdiction of the courts of the British Virgin Islands.
